Terms of Service for Snowscape Software, LLC
Welcome to Snowscape Software, LLC. These Terms of Service ("Terms") govern your use of our software development and related technology services, as well as our website. By engaging our services, you agree to be bound by these Terms.
1. Services
Snowscape Software, LLC agrees to provide software development and technology consulting services as mutually agreed upon in a separate Statement of Work (SOW) or service agreement. Services may include, but are not limited to, custom software development, application maintenance, systems integration, infrastructure automation, and technical advisory. The specific scope, deliverables, and timelines for services will be detailed in the SOW.
2. Client Obligations
To enable us to perform our obligations, the Client shall:
- Provide timely access to necessary information, data, systems, and resources, such as application credentials, infrastructure accounts, and technical documentation.
- Cooperate with Snowscape Software, LLC in all matters relating to the services and appoint a primary contact person for communications.
- Ensure that all materials and access provided to Snowscape Software, LLC do not infringe upon the intellectual property rights or security of any third party.
3. Payment Terms
Payment for services will be governed by the terms specified in the SOW or invoice. Typically, services are billed on either a fixed‑fee or time‑and‑materials basis, and may be invoiced monthly or at defined milestones. All fees are non-refundable, Late payments may result in a suspension of services and/or incur late fees as specified in the service agreement.
4. Timelines and Deliverables
Snowscape Software, LLC will use commercially reasonable efforts to meet the project timelines and deliverables outlined in the SOW. The Client acknowledges that timelines may be affected by factors beyond our control, including delays in receiving feedback or required materials from the Client, changes in third‑party services or APIs, and infrastructure availability. We do not guarantee specific business results or uptime levels unless explicitly stated in a separate service level agreement (SLA).
5. Confidentiality
Both parties agree to keep confidential all non-public information obtained from the other party during the course of the engagement. This includes business strategies, client data, and performance metrics. This obligation of confidentiality shall survive the termination of our service agreement.
6. Intellectual Property
The Client retains all intellectual property rights to the materials, data, and systems they provide to us. Unless otherwise specified in the SOW, any new software code, configuration, or technical assets developed by Snowscape Software, LLC specifically for the Client during the engagement will become the property of the Client upon full payment for the services, subject to any third‑party or open‑source licenses used in the solution.
7. Limitation of Liability
In no event will Snowscape Software, LLC be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of profits, arising out of the services provided. Our total liability to the Client for any claim arising from our services will not exceed the total amount of fees paid by the Client to Snowscape Software, LLC in the three (3) months preceding the claim.
8. Term and Termination
The term of the service agreement will be specified in the SOW. Either party may terminate the agreement with a written notice period, typically 30 days, as specified in the SOW. Upon termination, the Client is responsible for paying all fees due for services rendered up to the effective termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Snowscape Software, LLC is registered, without regard to its conflict of law provisions.
10. Modifications to Terms
Snowscape Software, LLC reserves the right to modify these Terms at any time. We will notify clients of any significant changes. Continued use of our services after such changes constitutes acceptance of the new Terms.
